CASTIQ Terms of Service

1. Acceptance of Terms

By accessing, using, or registering for CASTIQ's identity graph platform, advertising technology services, CreatorCAST program, or any related services ("Services"), you ("User," "Client," or "Creator") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services.

2. Service Description

CASTIQ provides enterprise-grade audience intelligence, identity resolution, prefix tracking, AI-powered optimization, and programmatic advertising services across YouTube, Podcast, and Simulcast platforms. Our Services include but are not limited to audience segmentation, behavioral clustering, real-time optimization, and CreatorCAST monetization programs.

3. Data Processing & Privacy Compliance

CASTIQ processes consumer data points, identity graphs, and behavioral intelligence in strict compliance with CCPA, GDPR, COPPA, and all applicable privacy regulations. Users acknowledge that data processing is essential to our Services and consent to such processing as outlined in our Privacy Policy. CASTIQ maintains SOC 2 Type II compliance and implements industry-standard security measures.

4. User Obligations & Compliance

Users must: (a) comply with all applicable advertising standards, privacy laws, and platform policies; (b) provide accurate information; (c) not engage in fraudulent, deceptive, or illegal activities; (d) respect intellectual property rights; (e) maintain confidentiality of account credentials; and (f) use Services only for lawful business purposes.

5. CreatorCAST Program Terms

CreatorCAST participants grant CASTIQ non-exclusive rights to analyze, optimize, and monetize their inventory through programmatic advertising. Revenue sharing, payment terms, and performance metrics are governed by separate Creator Agreements. CASTIQ reserves the right to approve or reject Creator applications based on content quality, audience metrics, and brand safety standards.

6. Intellectual Property

CASTIQ retains all rights, title, and interest in its proprietary technology, algorithms, identity graphs, audience intelligence, and platform features. Users retain ownership of their content but grant CASTIQ necessary licenses to provide Services. Reverse engineering, copying, or unauthorized use of CASTIQ's intellectual property is strictly prohibited.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASTIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CASTIQ'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY USER IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Indemnification

User agrees to indemnify, defend, and hold harmless CASTIQ, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) User's breach of these Terms; (b) User's violation of applicable laws; (c) User's content or campaigns; or (d) any third-party claims related to User's use of Services.

9. Service Availability & Modifications

CASTIQ provides Services on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. We reserve the right to modify, suspend, or discontinue Services at any time without notice. CASTIQ does not guarantee uninterrupted access or error-free operation of Services.

10. Termination

Either party may terminate these Terms at any time. CASTIQ may immediately suspend or terminate User access for breach of Terms, non-payment, or violation of applicable laws. Upon termination, User's access rights cease immediately, but obligations regarding confidentiality, indemnification, and limitation of liability survive.

11. Governing Law & Dispute Resolution

These Terms are governed by Delaware law without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under AAA Commercial Arbitration Rules in Delaware. Users waive rights to jury trial and class action participation.
